Terms of Service

Presell, Inc. (doing business as AdBuy) operates https://adbuy.ai/ (the “Platform”). AdBuy is a lead generation and engagement platform that enables users to set campaign parameters (such as product, location, and budget) and use the Platform to run advertising campaigns and related workflows.

These Terms of Service (“Terms”) govern your access to and use of the Platform.

By accessing or using the Platform, you agree to be bound by these Terms.

You must be at least 18 years old to use the Platform. By using the Platform, you represent and warrant that you have the legal capacity and authority to enter into these Terms.

To access certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep that information accurate, current, and complete.

AdBuy uses passwordless authentication methods such as Google Sign-On, Magic Links, or One-Time Passcodes (OTP). You are responsible for maintaining the security of your login methods and for all activities that occur under your account.

By using the Platform, you agree to AdBuy's collection and use of information as described in the Privacy Policy. You acknowledge that you are responsible for complying with all applicable laws and regulations related to data privacy and protection in connection with your use of the Platform.

Leads and related lead information generated through your campaigns on the Platform (“Lead Data”) are intended for your exclusive use. AdBuy will not sell, license, or provide your Lead Data to other customers or third parties for their marketing purposes.

AdBuy may share Lead Data with vendors and service providers solely as necessary to operate, secure, and improve the Platform (for example, infrastructure, analytics, and communications tools), subject to appropriate confidentiality and data protection obligations.

You agree to pay all fees and charges associated with your account in accordance with the pricing and billing terms presented to you at the time you create or modify a campaign or otherwise incur charges.

Campaign Budget Billing (7-Day Billing Cycle)

When you launch a campaign and set a daily budget, you authorize AdBuy to bill you in advance for seven (7) days of that daily budget at the time the campaign goes live, and then to automatically rebill you at the end of each subsequent 7-day period while the campaign remains active.

Example: If you set a campaign daily budget of $20/day, when the campaign goes live you will be billed 7 × $20 = $140 for the initial 7-day period.

Auto-Renewal

At the end of each 7-day period, you will be rebilled for the next 7-day period at your then-current daily budget, unless you stop the campaign before renewal.

Stopping a Campaign

You may stop a campaign at any time. If you stop a campaign before the end of a 7-day period, you will not be charged for the next 7-day renewal, but any remaining funds already billed for the current 7-day period will continue to spend through the end of that 7-day period (subject to platform constraints and availability). Unused budget is not refundable.

Payment Method Authorization

You authorize AdBuy to charge your payment method on file for all amounts due. You are responsible for keeping your payment method information current.

From time to time, AdBuy may offer promotional credits (for example, a $200 promotional ad credit) to certain new accounts (the “Promotional Credits”). Promotional Credits are applied as a balance to your AdBuy account and may be used, where eligible, to fund certain charges on the Platform, including campaign spend, workflow usage, and setup costs such as domain purchases, email sending domain provisioning, and phone number provisioning (including calling and A2P registration for texting), as made available within the Platform.

Eligibility; Qualifying Business

Promotional Credits are only usable by a “Qualifying Business,” meaning you complete your business profile in AdBuy and provide information sufficient for AdBuy to verify that you (i) operate a legitimate business with a verifiable business website, and (ii) offer products and services within the industries and solutions supported by AdBuy (as described on the Platform, including on the homepage and under “Solutions”). If you are not a Qualifying Business, Promotional Credits may not be used and may be unavailable.

How Credits Are Applied

Promotional Credits are applied first to eligible charges as they are incurred. Certain charges may be billed on a delayed or usage-based basis (for example, workflow usage may be billed weekly and reflected on subsequent invoices). Promotional Credits may be applied to those charges as well, if available in your account balance at the time of billing.

When Credits Run Out; Rebilling

You do not need to maintain a full 7-day budget amount in your Promotional Credits balance for a campaign to run. Your campaign will continue running as long as your remaining balance is sufficient to cover the campaign's daily spend. When your remaining balance is no longer sufficient to fund the next day's budget, AdBuy will attempt, at or around 12:00 a.m. Eastern Time, to bill your payment method on file for the next 7-day period under the 7-Day Billing Cycle (based on your then-current daily budget). If the charge is successful, your campaign continues uninterrupted; if the charge fails, your campaign may pause until payment is successfully processed.

No Cash Value; Restrictions

Promotional Credits have no cash value, are non-transferable, may not be redeemed for cash, and are not a bank account or stored value account. Promotional Credits are not refundable and may be modified, suspended, or revoked if AdBuy reasonably believes there has been fraud, abuse, or a violation of these Terms, or if required by law.

By You

You may stop a campaign at any time through the Platform. Stopping a campaign prevents future 7-day renewals, but does not refund amounts already billed for the current 7-day period. Any remaining funds already billed will continue to spend through the end of the then-current 7-day period. Unused budget is not refundable.

By AdBuy

AdBuy may suspend or terminate your access to the Platform at any time, with or without notice, including if AdBuy reasonably believes you have violated these Terms or if continued access may create risk to the Platform, other users, or third parties.

Effect of Termination

Upon termination, your right to access and use the Platform will cease immediately. Any payment obligations incurred prior to termination will remain due and payable.

In no event shall Presell, Inc., its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data, use, goodwill, or other intangible losses resulting from any reason whatsoever.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

AdBuy reserves the right to modify or replace these Terms at any time. Your continued use of the Platform after any changes are posted constitutes acceptance of the updated Terms.
